Historic Merger Ahead for US Regional Carriers Republic Airways and Mesa Air

Exciting news has recently emerged in the aviation industry as Republic Airways and Mesa Air Group announce their plans for a groundbreaking merger. This historic move comes following the two carriers' definitive agreement to form a new publicly traded company that is set to make waves in the industry.

Jonathan Ornstein, Mesa Air’s Chairman and CEO, expressed enthusiasm for the deal, labeling it as an "exciting next step" in the carrier's 40+ year legacy. Ornstein believes that the merger represents a significant milestone that will benefit shareholders, employees, and stakeholders alike. "By uniting the strengths of both our organizations, we aim to create a regional carrier that not only continues to connect communities across America but also provides growth opportunities for our dedicated staff," Ornstein explained.

The newly combined entity will adopt the name Republic Airways Holdings and is poised to retain its listing on NASDAQ under the fresh ticker symbol “RJET”. Bryan Bedford, President and CEO of Republic Airways, shared his excitement about the merger, stating, "We are thrilled to bring together the Republic and Mesa teams to form one of the world's leading Embraer Jet operators.” He emphasized the shared mission of both carriers to enhance connectivity across America, highlighting the potential for even greater success through collaboration.

Republic Airways boasts a rich history dating back to 1974 and possesses a fleet of over 240 Embraer 170 and 175 aircraft. The airline served over 17.5 million passengers on more than 300,000 flights in 2024, primarily operating in Northeast and Mid-Atlantic hubs under long-term agreements with major carriers like American Airlines, Delta Air Lines, and United Airlines.

On the other hand, Mesa Air Group, founded in 1982, offers services to 89 cities across 40 states, as well as destinations in the Bahamas, Canada, Cuba, and Mexico, using a fleet of 60 Embraer 175 aircraft. The combined expertise and resources of both carriers are expected to drive significant value and growth for all stakeholders.

The merger will not affect the existing capacity purchase agreements (CPAs) with American Airlines, Delta Air Lines, and United Airlines held by Republic Airways. Additionally, Mesa Air's operations will continue to support United Airlines under a new 10-year CPA as a result of the consolidation.

According to a representative from Republic Airways, the merged company will be guided by Republic's executive leadership team, with the Board of Directors comprising members from both entities. The transaction, which has received unanimous approval from both companies' boards, is scheduled for completion in the late third or early fourth quarter of 2025.

In another intriguing development, former Republic Airways CEO Bryan Bedford has been appointed by US President Donald Trump as the new head of the Federal Aviation Administration (FAA). This move underscores the industry's recognition of Bedford's leadership and expertise in shaping the future of aviation.

The merger between Republic Airways and Mesa Air Group marks a significant milestone for the aviation sector, promising enhanced connectivity, growth opportunities, and increased value for all involved parties.
